Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the MGBS website (https://mgbs.com.ng), mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform. MGBS reserves the right to update these Terms at any time, and continued use constitutes acceptance of any changes.

1. Eligibility and Account Registration

• You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Platform.
• To post ads, buy products, or use features like the chat app, you must create an account by providing accurate information (e.g., name, email, phone number).
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify MGBS immediately of any unauthorized access.
• MGBS may suspend or terminate accounts for violations of these Terms, including false information or suspicious activity.

2. User Conduct and Responsibilities

• Users (buyers and sellers) must comply with all applicable laws, including Nigerian consumer protection and e-commerce regulations.
• Prohibited activities include: posting illegal, fraudulent, or harmful content; harassing other users; spamming; or using the Platform for unauthorized commercial purposes.
• Sellers must provide accurate product descriptions, images, prices, and availability. Misrepresentation may lead to ad removal, account suspension, and liability for damages.
• Buyers must communicate honestly and fulfill payment obligations promptly.
• The inbuilt chat app is for transaction-related communication only. Abusive language or off-topic use may result in restrictions.
• Users grant MGBS a non-exclusive license to use uploaded content (e.g., product images) for Platform promotion.

3. Ad Posting and Fees

• Sellers can post ads for products, subject to approval by MGBS to ensure quality.
• Posting ads may incur a fee, payable via the Platform's secure payment system. Fees are non-refundable, but incentives allow for free postings after reaching certain activity thresholds (e.g., number of posts or sales).
• Ads must not infringe on intellectual property rights or contain prohibited items (e.g., illegal goods, weapons, counterfeit products).
• MGBS may remove or edit ads at its discretion without liability.

4. Transactions and Payments

• The Platform connects buyers and sellers but does not own or sell products directly. MGBS is not responsible for product quality, delivery, or disputes unless using our secure transaction service.
• Secure Transaction Passage (Escrow Service): For added trust, buyers can opt for MGBS to hold payments. Funds are released to the seller only after the buyer confirms receipt and satisfaction of goods. If no confirmation is received within a specified timeframe (e.g., 7 days), funds may be released or refunded based on evidence provided.
• All payments are processed through secure gateways. Supported methods include bank transfers, cards, and mobile money (details available at checkout).
• Transaction fees may apply (e.g., escrow service fee of 2-5%, deducted from the seller's payout). Refunds are issued only in cases of non-delivery or as per dispute resolution.
• Taxes, duties, and shipping costs are the responsibility of the buyer/seller as applicable.

5. Delivery and Disputes

• Sellers are responsible for timely delivery and providing tracking information.
• Buyers must inspect goods upon receipt and notify MGBS within 48 hours of any issues for escrow disputes.
• In case of disputes, users must first attempt resolution via the chat app. If unresolved, submit evidence to MGBS support for mediation. MGBS's decision is final and binding.
• MGBS is not liable for lost, damaged, or undelivered items outside of escrow-protected transactions.

6. Privacy and Data Protection

• We collect personal data as outlined in our Privacy Policy (available on the Platform). By using MGBS, you consent to data processing for services like ads, chats, and support.
• We use cookies and analytics for improved user experience. Data is protected under Nigerian data protection laws.

7. Intellectual Property

• All Platform content (logos, designs, text) is owned by MGBS or licensed. Unauthorized use is prohibited.
• Users retain ownership of their uploaded content but grant MGBS rights for display and promotion.

8. Limitation of Liability

• The Platform is provided "as is" without warranties. MGBS is not liable for indirect damages, lost profits, or third-party actions.
• Maximum liability is limited to the amount paid for the specific transaction.
• Force majeure events (e.g., natural disasters) excuse performance delays.

9. Termination and Governing Law

• MGBS may terminate access for violations without notice.
• These Terms are governed by Nigerian law. Disputes shall be resolved in Lagos courts.
• If any provision is invalid, the remainder remains enforceable.
